1.1 These Terms of Use govern the terms and conditions for the use of the Online Training Center (hereinafter “Training Center”) of LEDVANCE GmbH, Parkring 1-5, 85748 Garching, Germany (hereinafter "LEDVANCE"). The Training Center is accessible at training.ledvance.com or at myledvance.com.

1.2 The publication of the Training Center constitutes an offer by LEDVANCE to conclude these Terms of Use with you. By accepting these Terms of Use a binding contract between you and LEDVANCE shall be constituted. Please read these Terms of Use carefully. By participating in e-learning courses offered through the Training Center, you acknowledge that you are full-aged (18 years or older), have fully read and understood these Terms of Use, and you accept and agree to be bound by all the provisions of these Terms of Use without limitation, including any changes that may be in effect during and after your use of the Training Center. If you are not of legal age or do not wish to accept all the terms of these Terms of Use, you are not authorized to access any course material or participate in any courses and must immediately stop using the Training Center.

1.3 These Terms of Use exclusively govern the contractual relationship between you and LEDVANCE regarding the use of the Training Center and its content.

2.1 Subject to your full compliance with these Terms of Use, LEDVANCE grants you a personal, revocable, non-exclusive, non-transferable, limited right to access the Training Center in accordance with these Terms of Use for the exclusive purpose of preparing and carrying out e-learning courses offered by LEDVANCE through the Training Center.

2.2 The usage of the Training Center is provided to you free of charge.

3.1 By visiting the Training Center you can learn interesting facts about lighting technology, LEDVANCE products and applications. The Training Center provides an interactive and gamified way to participate in online courses, access learning material (hereinafter collectively referred to as “Content”) and earn certificates as you complete training modules. Each certificate will be stored by LEDVANCE and is available for download on a temporary basis.

3.2 You must register and confirm your registration (double opt-in) to use the full scope of Content of the Training Center and gain certificates.

3.3 To make use of the functions of the Training Center you need Internet access. The audio connection is through the headset or speakers on your computer or mobile device.

4.1 You must not, and must not permit others to,
a) violate industrial property rights, copyrights, personal, property and other rights of third parties while accessing the Training Center,
b) violate any policies, laws, or regulations to which your use of the Training Center is subject while using the Training Center,
c) remove, alter, or obscure any proprietary marks of LEDVANCE or its licensors while using the Training Center,
d) remove, disable, or circumvent any copy protection, rights management, or security features of the Training Center,
e) create any derivative works thereof.

4.2 LEDVANCE is entitled to suspend or terminate your right to use the Training Center without prior notice if LEDVANCE has reasonable grounds to suspect that you have not complied or will not comply with any of the provisions of these Terms of Use, you are in violation of any applicable laws, regulations, licenses, or terms of use, or are using the Training Center improperly or inappropriately.

LEDVANCE is constantly striving to improve the Training Center, so it may be subject to adjustments over time. In particular, LEDVANCE is entitled, at its sole discretion, to:
a) develop bug fixes, patches, enhancements, improvements, updates and upgrades to provide new Content, features or improve the performance of the Training Center; and/or
b) suspend or discontinue any part, feature and/or application of the Training Center, introduce new Content and features, or limit certain Content and features, or restrict access to all or part of the Training Center.

Please note that the contractual terms of your mobile service provider may impose fees, limits and/or restrictions that may affect your use of the Training Center and its Content. For example, your mobile service provider may charge data usage fees for your use of Content accessible through the Training Center, including, without limitation, streaming or downloading Content while using the Training Center. You agree to be solely responsible for all such fees, limitations, and restrictions.

The Training Center contains proprietary that is protected by intellectual property laws and treaties. The Training Center and its Content are the intellectual property (Copyright and Industrial Property) of LEDVANCE or its affiliates or its licensors, who reserve all rights not expressly granted in these Terms of Use.
All trademarks, logos, and service marks (hereinafter collectively referred to as “Marks”) displayed on the Training Center are the property of LEDVANCE, its affiliates, or its licensors. You are not authorized to use any of these Marks without the prior written consent of the respective owner.
The Content is subject to copyright and may not be used outside LEDVANCE’s Training Center course room(s) or passed on to third parties. Distribution for commercial purposes is expressly forbidden.

All personal data collected from you by LEDVANCE will be processed in accordance with the provisions of the Privacy Policy of LEDVANCE’s Training Center.


 

LEDVANCE shall be liable to you in accordance with the following provisions:

9.1 LEDVANCE shall be liable to you in accordance with the statutory provisions only for damage caused by gross negligence or intent on the part of LEDVANCE, its legal representatives or vicarious agents, for damage resulting from culpable injury to life, limb or health, the assumption of a quality guarantee. Since LEDVANCE provides the Training Center to you free of charge, LEDVANCE shall not be liable for slight negligence. LEDVANCE's liability for damages under the Product Liability Act (ProdHaftG) remains unaffected.

9.2 LEDVANCE is not liable for malfunctions or damages due to
a) improper, inappropriate operation or use of the Training Center by you or a third party,
b) technical defects of the Internet connection (e.g., fluctuating network quality, inaccessibility of the network, insufficient connection quality), or
c) your culpable breach of any of your obligations under these Terms of Use, in particular pursuant to clause 7 above.

10.1 The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods and the provisions of international private law if:
10.1.1 you have your usual residence in Germany, or
10.1.2 your usual residence is in a country which is not a member of the European Union.
In case you have your usual residence in a member state of the European Union, the applicability of German law shall also apply, whereby mandatory provisions of the state in which you have your usual residence shall remain unaffected.
10.2 The European Commission provides a platform for extrajudicial online dispute resolution (OS), which you can find at https://ec.europa.eu/consumers/odr. LEDVANCE is not obliged or willing to participate in a dispute resolution procedure before a consumer arbitration board.

10.3 If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship between LEDVANCE and you or these Terms of Use shall be Munich, Germany. However, LEDVANCE is also entitled to sue you at your general place of jurisdiction. Mandatory statutory provisions on exclusive places of jurisdiction remain unaffected by this.


 

11.1 LEDVANCE reserves the right to amend these Terms of Use at any time to the extent necessary, if you are not thereby disadvantaged contrary to good faith or unreasonably. Any changes to the Terms of Use will be made available to you directly through the Training Center. If you do not agree with the amended Terms of Use, you are free to reject them; however, this means that you will no longer be able to use the Training Center. With your continued use of the Training Center, you agree to the changes.

11.2 Insofar as individual provisions of these Terms of Use are or become invalid or unenforceable in whole or in part, this shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the economic objectives of the parties. The same shall apply in the event of an omission.
